Orlen recommends PLN 8 per share - PLN 9.3 bn, the largest payout in company history

The management board of ORLEN recommended to the annual general meeting a dividend of PLN 8.00 per share out of 2025 profits. That works out to PLN 9.3 bn in total - the largest payout in company history, well above last year's record (PLN 6.00 per share, PLN 6.98 bn). The 2025 dividend yielded 7.04%; this year's, at a similar share price, lands around 8% - the level of the strongest dividend stocks on Warsaw's GPW.

The drop from PLN 5.50 to PLN 4.15 in 2023 reflected the consolidated profit dip in the year of PGNiG absorption. In 2024 the company returned to the upward trajectory (PLN 6.00); in 2025 - per the recommendation - it crosses PLN 8. Four years, four different amounts; unlike the older "PLN 4.15 plus inflation" policy, the current formula tracks current group cash flows much more directly.

Two-layer dividend policy: base of PLN 4.65 + variable component

Orlen Group's dividend policy has two layers. The first - the base - is a guaranteed amount, set at PLN 4.65 per share for 2026 (about PLN 5.4 bn in total). The second - the variable component - depends on results: up to 25% of operating cash flow for the year, less financing costs. This year's PLN 8 recommendation is the first time the full formula applies in conditions of strong operating cash flow - base PLN 4.65 plus a variable layer covering PLN 3.35.

Where the PLN 4.6 bn going to the State Treasury fits in

The Polish State Treasury remains the dominant shareholder of Orlen with roughly 49.9% of share capital. This year's recommendation means proportionally about PLN 4.6 bn flows to the state budget. The remaining PLN 4.7 bn goes to minority shareholders: pension funds (OFE), Polish and foreign investment funds, and retail investors. Orlen's dividend is one of the larger non-tax revenue sources for the State Treasury; this year, the single largest.

Dividend calendar - key dates

  • 18 June 2026 - record date. Shareholders on the deposit register at end-of-day are entitled to the payment. To qualify, shares must be bought no later than two trading days earlier (T+2).
  • 25 June 2026 - payment date. Funds reach broker accounts. One week after the record date - the standard Polish convention.
  • AGM - the annual general meeting that approves the recommendation takes place in mid-June; once approved, the calendar above takes effect.

The PLN 8-per-share recommendation reshuffles the Warsaw dividend leaderboard. Orlen returns to a throne the banking sector had been pulling away from - at the current share price the implied yield matches the strongest commodities names in the mWIG40 index.
